    1. Introduction & Acceptance

    These Terms of Service ("Terms") govern your access to and use of the tenperzent.com platform (the "Platform"), operated by Argon Servizi di Impresa srl ("we", "us", "our").

    By creating an account or using the Platform, you agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and our Data Processing Agreement. If you do not agree, you must not use the Platform.

    If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

    2. Service Description

    tenperzent.com provides an AI-powered recruitment screening platform that enables users to:

    • Upload job descriptions and candidate CVs/résumés
    • Receive AI-generated candidate scores, rankings, insights, and recommendations
    • Manage candidate pipelines and recruitment workflows
    • Export candidate data and analysis results

    The Platform is a decision-support tool. All AI outputs are advisory in nature and are not intended to replace human judgment in recruitment decisions.

    3. Account Registration & Security

    • You must provide accurate and complete information when creating an account
    • You are responsible for maintaining the confidentiality of your account credentials
    • You must immediately notify us of any unauthorised access to your account
    • You are solely responsible for all activities that occur under your account
    • You must be at least 18 years of age to use the Platform

    4. User Responsibilities — Data Uploads & Compliance

    Critical: Your Obligations as Data Controller

    When you upload CVs, résumés, or any candidate personal data to the Platform, you act as the data controller under the GDPR and applicable data protection laws. By uploading such data, you represent, warrant, and undertake that:

    • You have a valid legal basis under the GDPR (Article 6) to collect, process, and upload each candidate's personal data to the Platform
    • You have provided adequate notice to each candidate about how their data will be processed, including through AI-powered screening tools, in accordance with Articles 13 and 14 GDPR
    • You have obtained any required consent from candidates where consent is the applicable legal basis
    • You are lawfully authorised to share candidate data with Argon Servizi di Impresa srl and its sub-processors for AI-powered analysis
    • You will not upload special categories of personal data (Article 9 GDPR) — including health data, racial or ethnic origin, political opinions, religious beliefs, trade union membership, genetic or biometric data, or sexual orientation — unless you have obtained explicit consent and have a lawful basis under Article 9(2)
    • You will comply with all applicable laws governing recruitment, employment, and data protection in your jurisdiction, including but not limited to anti-discrimination laws
    • The data you upload is accurate, relevant, and limited to what is necessary for the recruitment purpose (principle of data minimisation)
    • You will promptly delete candidate data from the Platform when it is no longer necessary for the recruitment process
    • You will not use the Platform's AI outputs as the sole basis for making employment decisions — you will apply human oversight and judgment

    5. Prohibited Uses

    You agree not to use the Platform to:

    • Upload data you are not authorised to process
    • Discriminate against candidates on the basis of protected characteristics
    • Upload malicious files or attempt to compromise Platform security
    • Reverse engineer, decompile, or attempt to extract our AI models or algorithms
    • Use the Platform for any purpose other than legitimate recruitment activities
    • Resell, sublicense, or redistribute access to the Platform without written authorisation
    • Scrape, crawl, or use automated tools to extract data from the Platform
    • Circumvent any technical limitations, credit systems, or access controls

    6. Credits, Payments & Billing

    • The Platform uses a credit-based pricing model. Each CV screening consumes credits
    • New accounts receive a limited number of free credits
    • Additional credits may be purchased via the Platform. All payments are processed securely by Stripe
    • All prices are displayed in the applicable currency and are inclusive of VAT where required
    • Credits are non-refundable once used. Unused purchased credits do not expire
    • We reserve the right to modify pricing with 30 days' prior notice to active users

    7. Intellectual Property

    • The Platform, its design, features, AI models, algorithms, and source code are the property of Argon Servizi di Impresa srl and are protected by intellectual property laws
    • You retain full ownership of all data you upload to the Platform
    • We do not claim any ownership over your uploaded data
    • We do not use your uploaded data to train or improve our AI models
    • You grant us a limited, non-exclusive licence to process your uploaded data solely for the purpose of providing the Platform's services to you

    8. AI Outputs & Disclaimer

    AI-generated scores, rankings, insights, recommendations, and other outputs (collectively, "AI Outputs") are provided on an "as is" basis for informational and decision-support purposes only.

    AI Outputs may contain errors, inaccuracies, or biases. They should never be used as the sole determinant in any employment decision. You are responsible for independently verifying AI Outputs and exercising your own professional judgment.

    Argon Servizi di Impresa srl makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of AI Outputs for any particular purpose.

    9. Limitation of Liability

    To the fullest extent permitted by applicable law:

    • Argon Servizi di Impresa srl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill
    • Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the total amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim
    • We are not liable for any hiring decision made based on the Platform's AI Outputs or any other information provided through the Platform
    • We are not liable for any claim, loss, damage, or regulatory penalty arising from your failure to comply with your obligations as data controller, including uploading candidate data without a valid legal basis, failing to inform candidates, or violating applicable data protection or employment laws
    • We are not liable for any third-party claims, including claims by candidates whose data was uploaded by you without proper authorisation or legal basis

    10. Indemnification

    You agree to indemnify, defend, and hold harmless Argon Servizi di Impresa srl, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

    • Your use of the Platform
    • Your breach of these Terms
    • Your violation of any applicable law or regulation
    • Your upload of candidate data without a valid legal basis or proper authorisation
    • Any third-party claim resulting from candidate data you uploaded or processed through the Platform
    • Your hiring decisions, whether or not based on AI Outputs from the Platform

    11. Service Availability & Modifications

    • We strive to maintain Platform availability but do not guarantee uninterrupted or error-free service
    • We may modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice
    • Scheduled maintenance will be communicated in advance when practicable
    • We are not liable for any loss resulting from service interruptions or modifications

    12. Account Termination

    • You may delete your account at any time through the Platform settings. Upon deletion, all your data (including uploaded candidate data) will be permanently removed within 30 days
    • We reserve the right to suspend or terminate accounts that violate these Terms, engage in prohibited uses, or pose a risk to Platform security
    • Upon termination, your right to use the Platform ceases immediately. Sections 7, 9, 10, and 14 remain in effect after termination

    13. Changes to These Terms

    We may update these Terms from time to time. We will notify registered users of material changes at least 30 days in advance by email or through a notice on the Platform. Continued use of the Platform after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Platform and delete your account.

    14. Governing Law & Jurisdiction

    These Terms are governed by and construed in accordance with the laws of Italy. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Italy, without prejudice to any mandatory consumer protection provisions that may apply under EU law.

    15. Severability

    If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
